General Terms and Conditions (GTC) of AirID GmbH

1. Scope

1.1. These General Terms and Conditions (GTC) apply to all contracts, deliveries, and other services of AirID GmbH (hereinafter “AirID”), unless they are modified or supplemented by written agreement.

1.2. Deviating or conflicting terms and conditions of the customer will not be recognized unless AirID expressly agrees to their validity in writing.

2. Conclusion of Contract

2.1. The offers of AirID are non-binding and subject to change. Technical changes as well as changes in form, color, and/or weight remain reserved within reasonable limits.

2.2. By ordering a product, the customer makes a binding declaration of intent to purchase the ordered product. AirID is entitled to accept the contractual offer contained in the order within two weeks of receipt.

2.3. The contract is concluded when AirID accepts the customer’s order by sending an order confirmation or by delivering the goods.

3. Prices and Payment Terms

3.1. Prices are quoted in euros ex-works, including packaging, but excluding freight, customs duties, import ancillary charges, and value-added tax.

3.2. Payment must be made within 14 days of the invoice date without deduction unless otherwise agreed in writing.

3.3. In the event of late payment by the customer, AirID is entitled to charge default interest at a rate of 8 percentage points above the base interest rate. The assertion of further damages remains reserved.

4. Delivery and Shipping

4.1. Delivery dates or deadlines are non-binding unless they have been expressly agreed upon as binding.

4.2. Compliance with delivery deadlines requires the timely and proper fulfillment of the customer’s obligations.

4.3. If the customer is in default of acceptance or culpably breaches other obligations to cooperate, AirID is entitled to demand compensation for the resulting damage, including any additional expenses.

5. Retention of Title

5.1. AirID retains title to the delivered goods until full payment of all claims arising from the business relationship.

5.2. The customer is obliged to handle the reserved goods with care and to insure them at their own expense against fire, water, and theft damage at replacement value.

6. Warranty and Liability

6.1. Customer’s warranty claims require that they have properly fulfilled their duties to inspect and give notice of defects in accordance with § 377 HGB.

6.2. In the event of defects in the goods, AirID shall, at its discretion, provide subsequent performance by way of rectification of the defect or delivery of a defect-free item.

6.3. Further claims by the customer, in particular claims for damages, are excluded unless there is intent or gross negligence.

7. Data Protection

7.1. AirID collects, processes, and uses personal data of the customer for order processing and customer relationship management in accordance with applicable data protection regulations.

7.2. The customer has the right to information, correction, blocking, and deletion of their stored data at any time.

8. Assignment of Claims

8.1. The customer hereby expressly agrees in advance that all claims that AirID has against them may be assigned to a third party. A separate notification of the assignment will only be given in individual cases if required by law.

8.2. In the event of an assignment of the claim, the customer undertakes to provide all necessary information and support to execute and enforce the assignment.

9. Disclaimer for Products and Technologies of AirID GmbH

9.1. The contents of the products and technologies of AirID GmbH have been created with the utmost care. However, we do not assume any liability for the accuracy, completeness, and timeliness of the contents, unless we are responsible for intent or gross negligence.

9.2. As a service provider, we are responsible for our own content on these pages according to the general laws in accordance with § 7 Abs.1 TMG. According to §§ 8 to 10 TMG, however, we are not obligated as a service provider to monitor transmitted or stored third-party information or to investigate circumstances that indicate illegal activity. Obligations to remove or block the use of information according to general laws remain unaffected. However, liability in this regard is only possible from the point in time at which a specific legal violation becomes known. Upon becoming aware of such legal violations, we will remove these contents immediately.

9.3. Our offer contains links to external third-party websites, the contents of which we have no influence over. Therefore, we cannot assume any liability for these external contents. The respective provider or operator of the pages is always responsible for the contents of the linked pages. The linked pages were checked for possible legal violations at the time of linking. Illegal contents were not recognizable at the time of linking. A permanent control of the contents of the linked pages is, however, not reasonable without concrete evidence of a legal violation. Upon becoming aware of legal violations, we will remove such links immediately.

10. Changes to the GTC

10.1. AirID reserves the right to change these GTC at any time. The customer’s consent is not necessary.

10.2. Changes to the GTC will be communicated to the customer by e-mail. The amended conditions will take effect if the customer does not object in writing within four weeks of receiving the amendment notification.

11. Final Provisions

11.1. The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

11.2. The place of performance and jurisdiction for all disputes arising from or in connection with these GTC is the registered office of AirID.

11.3. Should individual provisions of these GTC be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. In place of the invalid or unenforceable provision, a valid and enforceable regulation shall apply that comes closest to the economic intent of the invalid or unenforceable provision. The same applies to any gaps in these GTC.
